1. Acceptance of Terms

By accessing or using NeedSonar (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and NeedSonar.

2. Description of Service

NeedSonar is an AI-powered pain-point discovery engine that aggregates publicly available user-generated content from third-party platforms to help entrepreneurs, indie developers, and product managers discover market pain points, validate ideas, and analyze competition.

Our services include:

  • Aggregation, summarization, classification, and scoring of public discussions
  • AI-generated business insights, trend analysis, and competitor analysis
  • Search, filtering, favorites, and export features
  • Subscription-based premium features such as unlimited search, advanced exports, and team collaboration

3. User Accounts

3.1 You must provide accurate and complete information when creating an account.

3.2 You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3.3 You may not:

  • Register multiple accounts to circumvent usage limits
  • Share account credentials or allow multiple people to use a single paid account (except under Team plans)
  • Use automated means to access the Service without our written permission

4. Subscriptions and Payments

4.1 Subscription Plans: We offer free and paid subscription plans. Paid plans are billed monthly or annually through Stripe.

4.2 Billing Cycle: Subscriptions automatically renew unless cancelled before the next billing period. You may manage or cancel through the customer portal.

4.3 Price Changes: We reserve the right to adjust prices. Changes take effect at the next billing period and will be communicated in advance.

4.4 Taxes: Displayed prices do not include applicable taxes. Depending on your location, VAT, sales tax, or other taxes may apply.

4.5 Failed Payments: If payment fails, we will retry. After repeated failures, your account may be downgraded to the free plan until resolved.

5. Refund Policy

5.1 Paid Subscription Refunds:

  • Within 14 days of your first subscription, you may request a full refund if you are not satisfied.
  • Refund requests must be sent to [email protected].
  • One first-subscription refund per account.
  • If you have heavily used paid features (e.g., more than 50% of plan quota), we may reduce the refund amount at our discretion.

5.2 No Refund:

  • More than 14 days after purchase
  • Accounts terminated for Terms violations
  • Mid-cycle cancellation of annual subscriptions (you retain access until the end of the current period)

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property, privacy, or other rights
  • Attempt unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its servers
  • Scrape Service data at scale using automated tools
  • Use data generated by the Service for spam, harassment, fraud, or other harmful purposes
  • Make high-risk business decisions based solely on the Service without independent verification

7. Intellectual Property and Content

7.1 NeedSonar IP: All content, features, interfaces, code, trademarks, and brand elements are owned by NeedSonar and protected by copyright, trademark, and other intellectual property laws.

7.2 Third-Party Content: Some content displayed comes from public third-party platforms and is owned by the original authors or platforms. We provide only summaries, links, and analytical insights based on publicly available information.

7.3 Your Content: You retain ownership of content you submit (e.g., favorites, notes, feedback). You grant us a non-exclusive, worldwide, royalty-free license to use it to provide the Service.

7.4 Data Export: Paid users may export data, but may not use exported data for purposes that directly compete with NeedSonar or violate third-party platform terms.

8. DMCA and Content Removal

If you believe content in the Service infringes your copyright, send a DMCA notice to [email protected] including:

  • Your contact information
  • Description of the copyrighted work
  • Location of the allegedly infringing content (URL)
  • A statement that you have a good-faith belief the use is not authorized
  • A statement that the information is accurate and you are authorized to act on behalf of the copyright owner

9. Disclaimers

9.1 The Service is provided "as is" and "as available" without warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement, or accuracy.

9.2 We do not guarantee that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • AI-generated scores, summaries, or insights are fully accurate or reliable
  • Any pain point is suitable as a business opportunity
  • Third-party links will remain active

9.3 You are solely responsible for business decisions made using the Service.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, NeedSonar and its affiliates, employees, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Service.

10.2 In no event shall our total liability exceed the amount you paid us in the 12 months preceding the claim, or USD $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless NeedSonar and its affiliates, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, infringement of third-party rights, or violation of applicable law.

12. Changes and Termination

12.1 We may modify, suspend, or terminate the Service at any time without notice.

12.2 We may suspend or terminate your account if we believe you have violated these Terms or harmed other users or the Service.

12.3 You may terminate by deleting your account or ceasing use. Deleting your account may result in irreversible data loss; export important information first.

13. Governing Law and Disputes

13.1 These Terms shall be governed by the laws of the jurisdiction where NeedSonar operates, without regard to conflict-of-law principles.

13.2 Any dispute shall first be resolved through good-faith negotiation. If unresolved, either party may bring suit in a court of competent jurisdiction.

13.3 If you are located in the EU, you may have additional mandatory consumer rights under local law that are not affected by these Terms.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by:

  • Posting updated Terms on this page
  • Sending email notice to registered users
  • Displaying a prominent notice on the website

Continued use after changes constitutes acceptance.
